The term of office of our Board of Directors is originally 1 year, as stipulated in our By_Laws. Last November, the BOD, led by our Association President, called for a General Assembly, and by virtue of the proxy votes of the Developer, managed to get a qourum.
In the said meeting, they purportedly amended our By-laws and extended their term of office for 2 years.
By virtue of the proxy votes of the Developer, they passed the motion of extending the BOD term of office from 1 year to 2 years.
IS IT LEGALLY ALLOWED THAT THIS EXTENSION OF OFFICE BE APPLIED TO THE INCUMBENT BODS?
If not, is there any specific law that they violated, i.e. applying this amendent during their term of office, since doing so is self serving in the interest of the present BODs?
