Queries on By-Laws, Ammendments

I would like to ask about what step we should do in order to ammend our by-laws. We are already in the process of submitting our reportorial requirements; but, our directors have thought it best to extend the term of the officers and board of directors to two years in order to accomplish more long-ranged projects. In fact, we have already been exercising such extension of term since everyone in the board has already agreed to it. How do we go about it in a legalized manner? Is it also possible that we just omit the section on our by-laws that require us to also submit reports and coordinate with SEC? Can we just report to HLURB exclusively since we are already registered? Our registration # is HIGC 04-109. Some of the conditions on the Articles and By-laws submitted before are already outdated. If we make ammendments this year, how soon can we implement these ammendments?
